1. The property of Rochester Electronics, LLC

We own the RE Websites and, along with the manufacturers we represent, own all digital assets and content (text, images, trademarks, brochures, videos, logos) and all other material contained/displayed on RE Websites. You may not and will not copy, share, publish, distribute, or transmit any digital assets or content found on the RE Websites for any commercial use. All copyright, trademark and other proprietary rights notices included in the digital assets or content as presented on the RE Websites must appear on all printed copies.

Your use of and access to the RE Websites does not grant you any license or right to use any of the marks included on the RE Websites.

2. The use of the RE Websites

If you become a registered Rochester Electronics, LLC online account user, your account user information (name, email address, shipping, and billing address) must be accurate, current, and complete, and you may not provide false information to Rochester Electronics, LLC or impersonate another individual or entity. You are solely responsible for maintaining the secrecy of your passwords, login, and account information. You will be responsible for all use of the RE Websites by you and anyone using your password and login information (with or without your permission). You agree that you and your authorized representatives will be the only users of your account, and that you will be solely responsible for all activities on the RE Websites using your account. 3. use any device, software or routine that interferes or attempts to interfere with the normal operation of the RE Websites or take any action that imposes an unreasonable load on our computer or network equipment;
4. sell or commercialize any content obtained from the RE Websites on a standalone basis;
5. upload any content to RE Websites that infringes upon the intellectual property or proprietary rights of any third party;

The following are strictly prohibited and Rochester Electronics, LLC may monitor your use of the RE Websites without limitation, to ensure your compliance with these Terms:

1. compromise the security or tamper with system resources and/or accounts related to RE Websites;
2. use tools designed for compromising security (e.g., password guessing manually or through programs, cracking tools, or network probing tools)

If you become involved, or are suspected to have become involved, in any violation of these Terms, Rochester Electronics, LLC reserves the right to investigate your activities for its own purposes and release the details of your violations to others at Rochester Electronics, LLC’s sole discretion, including without limitation to governmental authorities, private investigators, or other users of the RE Websites to assist them in resolving security incidents.

At our sole discretion, at any time and without advance notice or liability, Rochester Electronics, LLC may suspend, terminate, or restrict your access to all or any components of the RE Websites.

3. Website Service Disclaimer

The RE Websites and all content and services provided via the RE Websites are provided on an "as available" and “as-is” basis. Rochester Electronics, LLC expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and security and accuracy, as well as all warranties arising by usage of trade, course of dealing, or course of performance. Rochester Electronics, LLC makes no warranty, and expressly disclaims any obligation, that: (a) the RE Websites will meet your requirements or will be available on an uninterrupted, timely, secure, or error-free basis; (b) the content will be up-to-date, complete, comprehensive, accurate or applicable to your circumstances; (c) the results that may be obtained from the use of the RE Websites or any services offered through the site will be accurate or reliable; or (d) the quality of any products, services, information, or other material obtained by you through the site will meet your expectations.

4. Limitation of Liability and Indemnification

Rochester Electronics, LLC will not be responsible or liable for (a) any damages to or viruses that may infect your computer equipment or other property as the result of your access to the RE Websites or your downloading of any content from the RE Websites or (b) any injury, death, loss, claim, act of god, accident, delay, or any direct, special, exemplary, punitive, indirect, incidental or consequential damages of any kind (including without limitation lost profits or lost savings), whether based in contract, tort, strict liability or otherwise, that arise out of or is in any way connected with (i) any use of the RE Websites or content, (ii) the performance or nonperformance by us or any provider, even if we have been advised of the possibility of damages to such parties or any other party. You further understand and agree that we make no guarantees or warranties as to the accuracy or content of any of the content you choose to download and use from the RE Websites, or whether any content will be available or remain available in the future. Some states do not allow the limitation of liability, so the limitations above may not apply to you. You agree to indemnify, defend, and hold us and our contributing component manufacturers harmless from any third-party claims arising from your use of Our Website, In the event we become aware of any such third party claim we shall promptly notify you and reasonably cooperate with you in the defense of such third-party claim at your sole expense.

5. Protecting Rochester Electronics, LLC

Subject to these terms of use, you will defend, indemnify, and hold us and our partners, and Rochester Electronics, LLC harmless from and against any claim, cause of action, liability, expense, loss, or demand, including without limitation reasonable legal and accounting fees, arising out of, or in any way connected with your breach of these Terms or the agreements made part of these Terms by reference, your use of or access the RE Websites or its content.
